Tecnicenter offers a platform of heavy used equipment for the mineral industry through its website Minexco.com, in the field of Mines, Quarries, Recycling industries and any other type of business requiring this type of equipment. The present document defines the terms and conditions binding the buyers and sellers for using our platform minexco.com, wherever they are geographically located.
1. Conditions of use
1.1 Minexco.com acts as an independant middleman, aiming at putting together buyers and sellers to conclude business deals for used equipment.
Minexco.com is not a representative of either the buyer or seller and can never be mandated to conclude a business deal.
1.2 Buyers and sellers acknowledge and accept these present terms and conditions. It is declared to be automatically approved whenever a seller lists in a product, or when a buyer views our website to consult an ad or to make a deal.
1.3 Minexco.com can at any time modify these terms and conditions.
2. Seller
2.1 the seller can list in one or several products on minexco.com through the identification form (available on the website), or can ask Minexco.com to collect the data.
2.2 Whenever a seller lists Equipment for sale, he is certifying that he has the legal right in his jurisdiction to sell such Equipment. The seller garanties that all data available on Minexco.com website is accurate and up to date, and undertakes to inform minexco.com of any modification as soon as they occur.
2.3 The selling price, tax not included and commission fee of Minexco not included, is set by the seller
2.4 If a buyer is interested by an equipment and expresses his wish to see it, Minexco.com will then communicate the demand to the seller of this equipment. The seller will be obligated to send back the form, recapitulating the good, its price and the commission fee for minexco.com, with his agreement. The seller agrees to meet any potential buyer wishing to see his equipment displayed by minexco.com
2.5 The seller agrees to inform minexco.com under 48 hours by fax of any transaction concluded with the help of minexco.com
2.6 In the event of one (or more) sale(s), the seller will have to pay a commission fee to Tecnicenter. The selling price on the website is composed of the price asked by the seller, increased by the commission fee of minexco.com, tax not included.
2.7 The seller is sole responsible of the potential buyer's creditworthiness, as well as the transaction.
2.8 If the seller sells his equipment through a network other than minexco.com, or wants to eliminate it from minexco's list, he agrees to inform minexco.com by fax under 48 hours. There will be no charge or commission fee if the terms are met.The commission fee could still be claimed if these conditions are not fulfilled. The seller is not bound by any exclusivity to sell solely through minexco.com.
2.9 Minexco.com reserves the right to refuse to list a product for any reason, or to deal with a company for any reason.
2.10The buyer and seller negotiate and conclude the deal by themselves, Minexco.com is not responsible in any way.
3. Buyer
3.1 The buyer agrees to have the financial means corresponding to the demanded price on the website, or in accordance to his final bid to the seller.
3.2 The buyer is solely responsible of his bid, and of the negotiation until the final payment in case of transaction.
3.3 If a buyer is interested by a product and wants to examine it, he must return a formal demand to minexco.com by mail, fax or regular mail.
3.4 The buyer is sole responsible of his inspection during a visit to the seller, and he agrees to acquire the equipment as it was in case of a transaction, no complaints will be taken by Minexco.com
3.5 The buyer agrees to inform Minexco.com of any transaction with the seller.
3.6 Minexco.com reserves the right to refuse any bid for any reason .
3.7 Minexco.com endeavors to present accurate and up to date data, however this data is only informative. The buyer must verify this information with the seller before any transaction, Minexco.com cannot be held responsible.
3.8 The buyer and seller negotiate and conclude the deal by themselves, Minexco.com is not responsible in any way.
4. Commission fee
4.1 The selling price of an equipment on the website corresponds to the price asked by the seller, increased by minexco.com commission fee, tax not included.
If the buyer's offer is agreed, the seller commits to pay a commission fee to minexco.com for its services. For each transaction through minexco.com, this commission fee will be fully charged to the seller by Tecnicenter on the day of the transaction.
4.2 The commission fee charged to the seller will be increased by the VAT and will be fully claimed by Tecnicenter after full payment of the buyer, by wire transfert or check, independantely of any complaints of the buyer.
4.3 In the event of non payment to Tecnicenter, after a delay of 30 days after issuing the invoice, the seller will have to pay additional interests at the rate of 1,5% per month per day of delay, as well as damages at the legal interest rate.
5. Liablitlity
5.1 Minexco.com is an independent intermediary whose mission is to put together buyers and sellers of heavy used equipment. Minexco.com cannot be a representative of either the buyer or the seller, and is never mandated to conduct transactions.
5.2 Minexco.com cannot be held responsible for any of the buyer's or seller's actions, or misdeed. Minexco.com is not responsible in case of non payment of buyers or sellers. Only buyers and sellers can be held responsible for their agreement of the transaction on delays, means of payment, and the payment in full itself. Minexco.com cannot be held responsible of the relationship between sellers and buyers, and all its consequences.
5.3 Minexco.com cannot be held responsible for any inspection of any good either by a seller or a buyer. The seller is solely responsible of the data collected and available on the website, and declares to be sole owner of the equipment displayed, equipment existing and avalaible. Minexco.com cannot be bound or held responsible by any additional requirement of either the buyer or the seller.
5.4 Minexco.com cannot be held responsible by any default to the safety regulations and rules of any item sold by the seller. Minexco.com cannot give any garanties of any kind concerning the truth of the data given by the seller or the buyer, as well as concerning the eventual disfunction of the equipments sold by the seller, or concerning the use by the buyer.
5.5 The buyer and seller declare knowing and accepting all the risks involved in using the internet. Minexco.com cannot be held responsible by any hardware or software damage caused by accessing the website minexco.com, or by any data transfer from this website. Buyers and sellers are to prevail against any hardware or software security problem by using an appropriate equipment.
6. Jurisdiction
In case of dispute between Minexco.com and/or the sellers and /or the buyers, the parties will try to settle the difference out of court. In case of failure, the laws of the Tribunal de Commerce de Paris will govern this agreement.
